3.3 Refunds

4. Intellectual Property

Clients retain ownership of all materials, content, and intellectual property provided to You Digital Co. By providing these materials, clients grant You Digital Co. a license to use them for the purpose of providing agreed services.
4.2 Work Product
Upon full payment, clients receive ownership of custom work products created specifically for them, including website designs, custom graphics, and written content. You Digital Co. retains the right to display completed work in our portfolio unless otherwise agreed in writing.
4.3 You Digital Co. Property
You Digital Co. retains ownership of all proprietary processes, methodologies, templates, tools, and pre-existing intellectual property used in delivering services.
5. Confidentiality
You Digital Co. agrees to maintain the confidentiality of all proprietary client information and data. We will not disclose client information to third parties except as necessary to provide agreed services or as required by law.
6. Third-Party Services and Platforms
Our services may involve the use of third-party platforms (such as social media networks, advertising platforms, hosting services, and analytics tools). You Digital Co. is not responsible for the terms, policies, performance, or availability of these third-party services. Clients are responsible for compliance with all third-party platform terms of service.
7. Results and Performance
While You Digital Co. strives to deliver excellent results, we cannot guarantee specific outcomes such as sales figures, follower counts, website traffic, or conversion rates. Marketing results depend on numerous factors beyond our control, including market conditions, competition, and platform algorithm changes.
8. Term and Termination
8.1 Service Term
Service terms are specified in individual agreements and may include month-to-month arrangements or fixed-term contracts.
8.2 Termination
Either party may terminate services with written notice as specified in the service agreement (typically 30 days). Upon termination:
- Client is responsible for payment of all services rendered through the termination date
- You Digital Co. will provide final deliverables for completed work
- Access to client accounts and platforms will be transferred back to the client
9. Limitation of Liability
To the fullest extent permitted by law, You Digital Co.'s liability for any claims arising from our services is limited to the amount paid by the client for services in the three months preceding the claim. You Digital Co. is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.
10. Indemnification
Clients agree to indemnify and hold harmless You Digital Co. from any claims, damages, or expenses arising from:
- Client-provided content, materials, or instructions
- Violation of third-party rights by client materials
- Client's breach of these terms or service agreements
